These terms govern your use of the WiseCall service, provided by Owlnet IP Ltd ("WiseCall", "we", "us", "OWL"). By signing up for or using WiseCall, you ("the Customer") agree to these terms.
1. Definitions
Services means the WiseCall AI receptionist, call handling, phone system and related services we provide. Customer means the individual, company or organisation using the Services. Term means the period the agreement is in force, beginning when the Services are made available and continuing until terminated in accordance with these terms.
2. The service we provide
- We will provide the Services with reasonable skill and care.
- Any go-live or provisioning dates are estimates only and we are not liable for delays outside our reasonable control.
- We may improve, update or change features of the Services from time to time.
- The Services depend on third-party networks and providers; we do not guarantee uninterrupted or error-free operation.
3. Your responsibilities
- You are responsible for the configuration of your agents, the information you provide, and the numbers you connect to WiseCall.
- You must inform your callers that calls may be recorded where required by law.
- You must use the Services lawfully and not for unlawful, abusive or fraudulent purposes.
- You are responsible for keeping your account credentials secure.
4. Charges and payment
- Charges are as set out in your selected plan. All prices are subject to VAT at the prevailing rate.
- Subscriptions are billed in advance on a recurring basis via our payment provider. Pay-as-you-go usage is billed per call as described at sign-up.
- Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends.
- We may change our charges by giving you reasonable advance notice.
5. Suspension and termination
- You may cancel your subscription at any time via the billing portal; cancellation takes effect at the end of the current billing period.
- We may suspend or terminate the Services if you materially breach these terms, fail to pay, or use the Services unlawfully.
- Either party may terminate if the other becomes insolvent.
- On termination, your right to use the Services and any associated numbers ends.
6. Acceptable use, fraud and misuse
You must take reasonable steps to prevent fraud, unauthorised access and artificial inflation of traffic on your account. You are responsible for charges arising from fraud or unauthorised use of the Services, and must notify us promptly of any suspected misuse.
7. Liability
Nothing in these terms excludes liability for death or personal injury caused by negligence, or any liability that cannot be excluded by law. Subject to that, we are not liable for loss of revenue, business, profits, anticipated savings, or any indirect or consequential loss. Our total liability arising under or in connection with the Services is limited to the charges paid by you in the twelve months preceding the claim.
8. Intellectual property
All intellectual property rights in the WiseCall platform remain with Owlnet IP Ltd. You retain ownership of your own business data and content provided to the Services.
9. General
- You may not assign or transfer your rights without our prior written consent; we may assign our rights on notice.
- These terms are the whole agreement between the parties relating to the Services.
- If any provision is found unenforceable, the remaining provisions continue in force.
- These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
